Agreement to Terms

By accessing or using the services of Virani CPA ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Services

Virani CPA provides accounting, bookkeeping, tax preparation, tax planning, and fractional CFO services. The specific services to be provided will be outlined in a separate engagement letter or service agreement.

Professional Standards

Our services are performed in accordance with applicable professional standards, including those established by the American Institute of Certified Public Accountants (AICPA) and relevant state boards of accountancy.

Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for our services
  • Respond to our requests for information in a timely manner
  • Review and approve work product as requested
  • Pay for services as agreed in our engagement letter
  • Notify us of any changes that may affect our services

Confidentiality

We maintain the confidentiality of all client information in accordance with professional standards and applicable laws. We will not disclose your information to third parties without your consent, except as required by law or professional regulations.

QuickBooks Online Connection

Our portal offers an optional integration with Intuit QuickBooks Online (“QBO”). If you choose to connect your QBO company, the following terms apply in addition to Intuit's own terms of service:

  • Authorization.You authorize Virani CPA to use Intuit's OAuth 2.0 flow to read financial reports, aged receivables/payables, the chart of accounts, and individual transactions we flag for categorization review. We do not access payroll, payment methods, or customer credit-card data. You represent that you have authority to grant this access for the QBO company you connect.
  • Limited write access. When you or a Virani CPA staff member approves a category for an uncategorized transaction, we write that category back to your QBO company. We do not delete, void, or otherwise modify transactions without your explicit approval. You remain responsible for the accuracy of your books of record in QuickBooks.
  • Accuracy disclaimer. Data displayed in our portal is synced from QBO on a regular schedule and may not reflect the most recent changes in your QBO company. Amounts shown are informational and do not replace the reports produced directly by QuickBooks or financial statements prepared by a CPA in a formal engagement. You should not rely solely on our portal for tax filings, loan applications, or other decisions requiring audited or compiled financial statements.
  • Revocation. You may disconnect QBO at any time, either through the admin console in our portal or directly in your Intuit account. Revocation stops all further data sync; data already synced will be retained as described in our Privacy Policy.
  • Sub-processors. QBO-derived data is processed by the sub-processors listed in our Privacy Policy.

Fees and Payment

Our fees for services will be communicated in advance and outlined in our engagement letter. Payment terms are typically due upon receipt of invoice unless otherwise agreed. We reserve the right to suspend services for non-payment.

Limitation of Liability

To the maximum extent permitted by law, Virani CPA shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to our services. Our total liability shall not exceed the fees paid for the services giving rise to the claim.

Intellectual Property

All materials, methodologies, and work product created by Virani CPA remain our intellectual property unless otherwise specified in writing. You are granted a license to use work product created specifically for your engagement.

Termination

Either party may terminate our engagement with written notice. Upon termination, you remain responsible for fees for services already rendered. We will provide reasonable assistance to transition your work to another provider.

Dispute Resolution

Any disputes arising from these terms or our services shall first be addressed through good-faith negotiation. If a resolution cannot be reached, disputes may be submitted to mediation or arbitration as mutually agreed.

Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of the modified terms.
